The Aureum Constitution

Preamble

Throughout history, humanity has expanded opportunity by extending the reach of transportation. Roads connected communities. Seaports connected continents. Railroads connected nations. Airports connected the world.

A new frontier is emerging. Electric vertical takeoff and landing aircraft, uncrewed aircraft systems, intelligent vertiports and droneports, and advanced air mobility are changing how people, goods, medical supplies, and emergency services move.

Aureum Mobility Inc. ("Aureum Mobility" or "Aureum") exists to build and operate the ground infrastructure that supports this change. Safe, reliable, and intelligent air mobility infrastructure should expand opportunity, strengthen communities, improve emergency response, and support durable economic development.

The guiding principle of Aureum Mobility is Equity of Air Accessibility.

Equity of Air Accessibility means expanding practical access to advanced air mobility infrastructure across geographies and use cases where deployment can be made safe, lawful, operable, responsive to community conditions, and financially durable. It does not require identical facilities, service levels, or deployment timelines in every market.

This Constitution establishes the enduring principles that guide Aureum Mobility, its governing body, officers, employees, and future leaders. It is a governance and operating standard. It does not replace applicable law, organizational documents, contracts, permits, safety requirements, or fiduciary duties; where those authorities impose a higher standard, the higher standard controls.

Article I

Our Purpose

Aureum builds the ground layer on which advanced air mobility depends.

The purpose of Aureum Mobility is to design, develop, integrate, deliver, commission, operate, service, and support ground infrastructure and digital systems for advanced air mobility; to distribute or integrate charging, energy, communications, and aircraft-support technology; and to develop, own, or operate sites directly or through qualified operators where doing so advances the mission and meets disciplined investment standards.

• Every material project should improve safety, expand practical access, strengthen resilience, or advance responsible integration with existing transportation systems.
• Before committing material resources, Aureum Mobility shall define the use case, responsible operator, regulatory path, safety responsibilities, operating model, community context, and expected financial return.
• Ownership, franchising, and third-party operating models shall be used only when responsibilities are clear, qualified operators are accountable, and the structure creates durable strategic, operational, or financial value.

Article II

Equity of Air Accessibility

Access must be practical, safe, connected, and sustainable.

Aureum Mobility shall reduce unnecessary barriers to advanced air mobility by developing infrastructure that responds to the needs of people, businesses, healthcare providers, emergency responders, aircraft operators, and public institutions.

• Evaluate opportunities in urban, suburban, rural, industrial, and remote communities using documented safety, regulatory, operating, community, and financial criteria.
• Develop modular infrastructure that can be scaled or adapted to the use case and operating environment.
• Support emergency medical transport, disaster response, humanitarian logistics, and public safety where Aureum Mobility is authorized, qualified, and technically suited to do so.
• Enable commercial uncrewed-aircraft operations and passenger eVTOL services only as the aircraft, operators, sites, routes, and operating concepts receive the required approvals.
• Develop digital systems that simplify scheduling, site operations, maintenance, payment, monitoring, and customer interaction.
• Plan sites to complement existing aviation, road, rail, transit, utility, and emergency-response networks.
• Maintain documented site-selection criteria and record the principal reasons for material site decisions while protecting confidential, proprietary, and security-sensitive information.

Equity of Air Accessibility joins broader opportunity with safety, operational excellence, community responsibility, and financial discipline.

Article III

Safety Above All

Safety is the first obligation and a managed system, not a slogan.

Aureum Mobility shall establish and maintain a safety management system appropriate to its activities and applicable requirements. Safety policy, risk management, assurance, training, reporting, and continuous improvement shall be integrated into business and operating decisions.

• Comply with the requirements of the aviation, transportation, building, electrical, fire, environmental, and other authorities that govern each activity and jurisdiction.
• Permit no schedule, cost, revenue, customer, competitive, or financing objective to override law, an approved safety control, or a required operating limitation.
• Identify hazards, assess risk, implement controls, and verify the effectiveness of those controls before material operations or changes are introduced.
• Give every employee and authorized operator the authority to stop work or halt an operation on a reasonable good-faith belief of an unsafe condition, with prompt escalation and no retaliation.
• Investigate incidents, near misses, control failures, and material safety observations; preserve relevant evidence; report as required; and assign corrective actions to accountable owners with due dates and verification.
• Maintain emergency-response, business-continuity, and recovery plans proportionate to the sites and operations involved.
• Provide timely and accurate safety reporting to responsible leaders and authorities, subject to applicable law, confidentiality, privilege, and investigation integrity.

Article IV

Stewardship

Infrastructure is a long-term responsibility.

• Design for durability, maintainability, inspectability, and safe failure.
• Build and commission for reliability under credible site, weather, grid, communications, and emergency conditions.
• Fund safety, maintenance, inspection, cybersecurity, and reliability obligations before discretionary expansion.
• Evaluate full lifecycle cost, including maintenance, upgrades, replacement, decommissioning, and site restoration.
• Site, build, and operate with regard to noise, land use, environmental review, local transportation, utilities, and foreseeable community impacts.
• Measure operating performance, record material changes, and compare actual results with the assumptions used to approve the site or system.

Each generation of leadership shall leave Aureum Mobility stronger and safer than it found it.

Article V

Innovation with Purpose

Nothing counts as innovation until it works safely under representative operating conditions.

Innovation exists to solve real problems and improve the performance of the operation as a whole.

• Improve safety, human factors, operational efficiency, maintainability, and resilience.
• Reduce unnecessary operating complexity and barriers to access.
• Protect cybersecurity, data integrity, privacy, and critical interfaces.
• Improve interoperability among aircraft, sites, operators, utilities, communications systems, and ground transportation.
• Test material innovations in representative environments and with qualified users before scaling them.
• Document limitations, failed assumptions, and lessons learned as carefully as successful results.

Article VI

Financial Stewardship

Financial discipline is not separate from the mission; it enables the mission.

Long-term accessibility requires an enterprise capable of sustaining safety, maintenance, service, and reinvestment.

• Allocate capital responsibly and preserve adequate liquidity and financial flexibility.
• Maintain leverage and contractual obligations at levels appropriate to cash flow, asset life, operating risk, and development stage.
• Underwrite each material project before funding and record key assumptions, sensitivities, risks, decision criteria, and accountable owners.
• Build recurring revenue where it creates customer value and supports the safe, reliable operation of sites and systems.
• Review material investments after deployment and compare actual safety, operating, community, and financial results with the original underwriting.
• Pursue only growth that Aureum Mobility can operate, maintain, and support without deferring essential obligations.

Article VII

Respect for People

People are the foundation of enduring institutions.

Aureum Mobility shall cultivate professional excellence, mutual respect, accountability, continuous learning, leadership development, and collaboration across disciplines.

• Set clear responsibilities, decision rights, competence standards, and performance expectations.
• Provide the training, tools, supervision, and authority needed to perform work safely and competently.
• Welcome good-faith dissent, technical challenge, and operational feedback before decisions become failures.
• Address misconduct, discrimination, harassment, retaliation, and unsafe behavior promptly and fairly.
• Protect anyone who raises a good-faith concern about safety, legality, financial reporting, ethics, security, or public claims.
• Develop successors and reduce dependence on any single individual.

Article VIII

Customer Commitment

Every customer who relies on Aureum infrastructure is trusting it with an operation of their own.

• Provide reliable infrastructure and prompt notice when safety, availability, performance, or delivery commitments are at material risk.
• Use clear and accurate commercial terms that define scope, responsibilities, limitations, service levels, and escalation paths.
• Apply security, privacy, access-control, and data-governance measures suited to the systems and risks involved.
• Provide the documentation, training, interfaces, maintenance information, and operating procedures customers and authorized operators need.
• Respond to failures through triage, root-cause analysis, corrective action, accountable ownership, and defined closure criteria.
• Make no representation that an aircraft, operator, route, site, or operation is approved when the responsible authority has not granted the required approval.

Aureum Mobility shall earn trust through safe performance, candor, and disciplined follow-through.

Article IX

Community Partnership

Every vertiport and droneport becomes part of a community.

Aureum Mobility shall treat governments, airports, landholders, utilities, emergency responders, businesses, and affected communities as long-term stakeholders in infrastructure development.

• Identify material stakeholder groups and reasonably foreseeable site impacts before committing to construction or operation.
• Engage the relevant municipal, state, tribal, federal, airport, utility, healthcare, emergency-response, property, and community stakeholders for the project.
• Communicate material noise, privacy, traffic, land-use, safety, construction, environmental, and restoration impacts candidly.
• Record material commitments and state honestly what Aureum Mobility can control, what it can influence, and what it cannot promise.
• Provide practical channels for operational feedback and assign ownership for material community concerns.
• Design projects to strengthen regional connectivity, resilience, and economic activity where practicable.

Article X

Integration with Aviation and Transportation Systems

Aureum builds the ground layer; the responsible authorities govern airspace, and authorized operators conduct flight operations.

Aureum Mobility shall support safe integration without representing that it certifies aircraft, authorizes operations, or controls airspace.

• Design interfaces for traditional aviation, eVTOL aircraft, uncrewed aircraft systems, emergency aircraft, autonomous systems, utilities, communications networks, and ground transportation.
• Coordinate with the responsible aviation authorities, airports, air-navigation service providers, aircraft and fleet operators, emergency services, utilities, and local transportation agencies.
• Define responsibilities, operating boundaries, data exchanges, emergency actions, and change-control procedures in written agreements and operating documents.
• Deploy equipment and technology supplied by third parties only under written arrangements that allocate performance, safety, cybersecurity, maintenance, warranty, data, and support responsibilities.
• Manage related-party transactions under the conflict and approval requirements of Article XII.
• Promote interoperability and safe change management across the systems that connect at each site.

Article XI

Knowledge and Continuous Learning

Knowledge strengthens safety only when it is captured, shared appropriately, and used.

• Record material lessons from projects, inspections, incidents, near misses, field failures, customer issues, and post-investment reviews.
• Assign each corrective action an accountable owner, due date, closure criterion, and verification method.
• Preserve configuration, maintenance, inspection, safety, cybersecurity, claims, commercial, financial, and governance records appropriate to the activity.
• Share relevant safety and operating knowledge across Aureum Mobility and with authorized operators, franchisees, and partners under applicable agreements.
• Protect confidential information, security-sensitive information, personal data, and intellectual property while enabling necessary learning.
• Develop future technical, operating, commercial, safety, and governance leaders.
• Keep critical records and knowledge intact through changes in personnel, systems, ownership, or corporate form.

Article XII

Institutional Continuity and Accountability

Institutions should endure across generations.

Aureum Mobility shall be governed so that its mission, safety standards, records, capabilities, and operating discipline endure beyond any individual founder, executive, director, or shareholder.

• Preserve the principle of Equity of Air Accessibility and require a recorded vote for any amendment to it.
• Maintain written succession and continuity plans for roles, systems, suppliers, sites, and functions Aureum Mobility cannot operate without.
• Preserve safety, engineering, operational, cybersecurity, claims, financial, commercial, and governance records through changes in personnel, ownership, or structure.
• Require disclosure of personal, financial, or organizational conflicts of interest and recusal where impartial judgment could reasonably be impaired.
• Approve related-party transactions only through disinterested decision-makers, on terms demonstrably fair to Aureum Mobility, with the basis recorded.
• Record material exceptions to this Constitution, including the reason, approving authority, duration, and corrective or compensating measures. No exception may authorize unlawful conduct or bypass a required safety control.
• Review adherence to this Constitution at least annually and assign action owners for material deficiencies.
• Address substantiated breaches through proportionate corrective action; no breach may be retroactively erased from the record.

Closing Declaration

Aureum Mobility will be measured by what its infrastructure makes possible for the people and communities who depend on it.

Those outcomes will include an emergency response that arrives sooner, relief that reaches a place conventional routes cannot, a safer operation, and a regional economy with a connection it did not have.

If Aureum Mobility infrastructure enables faster emergency response, safer disaster relief, stronger regional economies, more resilient logistics, and greater connectivity among communities, then Aureum Mobility will have honored the principle of Equity of Air Accessibility.

Roads connected communities. Airports connected the world. Aureum Mobility extends safe mobility where existing networks leave practical gaps.

This Constitution is both a commitment and a standard. It guides decisions, shapes culture, and defines what one generation of leadership owes the next.

About This Document

This Constitution is published as the working foundation of Aureum Mobility Inc. It is designated Version 1.0, dated July 31, 2026, and formal adoption by resolution of the governing body will follow.

It is a governance and operating standard. It does not create contractual rights in third parties unless expressly incorporated into a written agreement or required by applicable law.

Amendments will be considered deliberately, recorded, and published as newly numbered versions.
